1. Acceptance of these Terms

These Terms of Use govern access to and use of www.leadexco.com (the "Site"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you use the Site for a company or other organization, you represent that you are authorized to act for it.

2. Site operator and U.S. service support

The Site is operated from Taiwan by 朝輝國際股份有限公司, whose registered English company name is LEADEX & CO. ("Leadex," "we," "us," or "our"). Leadex is not registered as a company in the United States. Gaia Material LLC is a separate California company that may assist with U.S. inquiries and related services; it is not the operator of this Site.

3. Informational and business-to-business purpose

The Site provides general information about raw materials, fibers, resins, filaments, fabrics, linings, sustainability initiatives, and related business capabilities. It is intended primarily for business and professional users. The Site is not consumer purchasing advice, engineering advice, legal advice, or a substitute for product testing and professional judgment.

4. No offer, quotation, or contract

Site content, inquiry forms, sample references, availability statements, and general pricing discussions do not constitute a binding offer, quotation, acceptance, warranty, or sales contract. A transaction is binding only when documented in a separate written quotation, order confirmation, contract, or other instrument issued or accepted by an authorized representative. That instrument controls if it conflicts with these Terms.

5. Product information and claims

 

• Images, colors, weights, dimensions, constructions, compositions, certifications, test results, performance descriptions, recycled-content statements, and sustainability statements may be illustrative, preliminary, supplier-provided, or subject to tolerance and change.

• Product suitability depends on the intended use, processing conditions, applicable standards, and buyer testing. You are responsible for evaluating samples, specifications, safety information, regulatory requirements, and fitness for your application.

• A current written specification, certificate, safety data sheet, test report, order confirmation, or signed contract supplied for a particular transaction supersedes general Site content for that transaction.

• We may correct errors, revise content, discontinue products, or change availability without notice. We do not promise that every Site description is complete, current, or available in every market.

6. Permitted use

You may use the Site for lawful internal business evaluation and to contact us about potential transactions or partnerships. You may print or save a reasonable number of pages for those internal purposes, provided you retain copyright and trademark notices.

You must not:

• Use the Site unlawfully, fraudulently, or to infringe the rights of others.

• Attempt to gain unauthorized access to the Site, accounts, systems, data, or networks, or interfere with Site security or operation.

• Introduce malware, scrape or harvest personal information, use automated access that imposes an unreasonable load, or bypass access controls.

• Copy, republish, modify, sell, sublicense, or create derivative commercial content from the Site except with our prior written permission or as permitted by law.

• Misrepresent your identity, affiliation, authority, requirements, or intended use of a product.

7. Intellectual property

The Site and its text, graphics, photographs, artwork, logos, layout, databases, and other content are owned by or licensed to Leadex and are protected by intellectual-property laws. Leadex names and logos are trademarks or trade names of their respective owners. Third-party product names and marks, including supplier brands, remain the property of their owners. No license is granted except the limited use expressly stated in Section 6.

8. Information you submit

You retain ownership of information you submit. You grant us a non-exclusive right to use, reproduce, transmit, translate, and share that information within our company and with relevant service providers, mills, suppliers, laboratories, logistics providers, and advisers to evaluate and respond to your request or carry out a related transaction.

You represent that you have the right to provide the information and that it is accurate and lawful. Do not submit trade secrets, export-controlled information, sensitive personal data, or another party's confidential information unless we have agreed in writing on an appropriate method and purpose.

9. Privacy

Our collection and use of personal information are described in the Privacy Policy and Cookie Policy. Those policies are incorporated into these Terms by reference.

10. Third-party links and services

The Site may link to social networks, messaging services, videos, suppliers, or other third-party sites. Links are provided for convenience. We do not control and are not responsible for third-party content, availability, security, privacy, or terms. Your use of a third-party service is governed by that service's terms.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." LEADEX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES RELATING TO THE SITE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, AVAILABILITY, AND FREEDOM FROM ERRORS OR HARMFUL CODE. NOTHING IN THIS SECTION DISCLAIMS A WARRANTY EXPRESSLY GIVEN IN A SEPARATE SIGNED CONTRACT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADEX AND ITS OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL; OR COSTS OF SUBSTITUTE GOODS OR SERVICES ARISING FROM OR RELATED TO THE SITE, EVEN IF ADVISED OF THE POSSIBILITY.

These limits apply only to the maximum extent permitted by law. They do not exclude or limit liability that cannot lawfully be excluded or limited, and they do not alter obligations or liability agreed in a separate written quotation, order confirmation, or contract.

13. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Leadex and its personnel from third-party claims, damages, and reasonable costs arising from your unlawful use of the Site, your breach of these Terms, or information you submit without the necessary rights. This obligation does not apply to the extent a claim results from our own unlawful conduct.

14. Suspension and changes

We may suspend or restrict Site access when reasonably necessary for security, maintenance, legal compliance, or suspected misuse. We may update these Terms by posting a revised version and changing the effective date. Continued use after the revised Terms take effect constitutes acceptance to the extent permitted by law.

15. Governing law and disputes

These Terms and disputes relating solely to the Site are governed by the laws of Taiwan, without regard to conflict-of-laws principles. Subject to mandatory law, the courts located in Taipei, Taiwan have jurisdiction. A separate contract with Leadex, Gaia Material LLC, or another seller may provide different governing law and dispute terms, and that contract controls for the transaction it covers. Nothing in these Terms limits mandatory rights that cannot be waived.

16. General

If a provision is unenforceable, it will be modified only to the extent necessary and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement concerning use of the Site, excluding separate transaction documents.
